TERMS & CONDITIONS
Professional transparency
1. Membership Definition
The "LEXIUM Partner" program is a paid annual membership granting subscribers protective legal benefits and financial privileges as outlined below. It does not replace independent engagement for specific cases or specialized services.
2. Fees & Payment
Membership value: SAR 7,500 annually (exclusive of VAT).
Fees are payable in full in advance to activate membership.
Fees are non-refundable following activation, except as determined by the firm.
3. Scope of Services
Membership covers specified services only (contracts, consultations, financial benefits).
Any additional services or work beyond scope is priced independently.
Membership does not include court representation except under separate agreements.
4. Use of Benefits
All benefits are for personal use only and may not be transferred.
Unused benefits during the membership period are non-transferable and non-compensable.
5. Service Scheduling
Services are provided subject to availability, with relative priority given to program members. Immediate availability is not guaranteed at all times.
6. Consultations & Contracts
Consultations are based on information provided by the client. The firm bears no liability for any inaccuracy or incompleteness.
Contract drafting or review does not guarantee freedom from future disputes.
7. Rewards & Discounts
Referral rewards are calculated after: legal closure of the file (final judgment or settlement) and full collection of case fees.
Minimum threshold for discounts and rewards: SAR 10,000.
Discounts may not be combined unless explicitly stated.
8. Membership Term & Renewal
Duration: one calendar year from activation date.
Auto-renewed unless cancellation is requested 30 days prior.
Cancellation of renewal is available without additional charges.
9. Termination
The client may request termination; fees are non-refundable.
The firm may terminate the membership in cases of service misuse, breach of professional trust, or regulatory violations.
All privileges are cancelled immediately upon termination.
10. Outstanding Work
Upon termination, the firm reserves the right to reprice any incomplete work at the standard non-member rate. Discounts cease to apply after membership ends.
11. Professional Liability
The firm is committed to professional due diligence in accordance with applicable regulations, without guaranteeing specific outcomes. No liability for indirect or consequential damages.
12. Confidentiality & Data Protection
The firm maintains full confidentiality of all client information in accordance with Saudi regulations. Client data is used solely for service delivery purposes.
13. Amendments
The firm reserves the right to amend these terms or program benefits. Clients will be notified of any amendment in advance.
14. Governing Law
This agreement is governed by the laws of the Kingdom of Saudi Arabia. Saudi judicial authorities have exclusive jurisdiction over any dispute.
1. Service Definition
The "LEXIUM Business" program is an annual legal subscription agreement providing specified legal services on a monthly subscription basis. It does not constitute a comprehensive litigation representation contract.
2. Fees & Payment
Subscription value: SAR 5,000 monthly (exclusive of VAT).
Contract term: one binding calendar year.
Invoices are issued monthly in advance.
In case of payment delay, the firm reserves the right to suspend services until payment is received.
3. Scope of Services
a) Fixed Monthly Services
Up to 3 contracts monthly (drafting or review).
Up to 3 legal notice letters.
Unused services do not carry over to the following month.
Actual time per service is recorded. Additional time is billed at the standard rate.
Minimum billing unit: 15 minutes per request.
4. Service Scheduling & Priority
Services are provided per work schedule, with priority for program members. Immediate or urgent execution is not guaranteed unless specifically agreed.
5. Court Representation
The subscription does not cover litigation or court representation.
Cases are contracted independently.
Members receive a 25% discount on fees (conditional on active membership and regular payment).
6. Usage Limits
Services are exclusive to the contracting entity only.
Subsidiaries or affiliated parties require a separate agreement.
The client is responsible for avoiding misuse or excessive resource consumption.
7. Client Obligations
Provide accurate and complete information.
Designate an official point of contact for dealings with the firm.
Comply with relevant regulations and instructions.
8. Outstanding Work
Ongoing cases under the membership discount continue under the same terms until closure.
Upon cancellation, no discounts apply to new work.
9. Default or Breach
Payment delays result in service suspension and forfeiture of the litigation discount.
Material breach entitles the firm to claim the full remaining annual contract value.
10. Termination
The client may not terminate the contract before its term without the firm's consent.
The firm may terminate in cases of service misuse, regulatory violations, or material breach.
11. Professional Liability
The firm is committed to professional due diligence without guaranteeing outcomes. No liability for indirect or consequential losses.
12. Confidentiality
All information is treated with strict confidentiality and used solely for service delivery.
13. Amendments
The firm may amend services or terms with prior notice to the client.

Purpose
This policy ensures high-quality service delivery to all LEXIUM Business program clients, and prevents excessive or imbalanced use of professional resources.
1. Fair Use Principle
Fair use means consuming services within the normal and expected limits of commercial activity scope, proportionate to the subscription value and services provided.
2. Scope of Application
Advisory hours balance.
Fixed monthly services.
Recurring legal support requests.
3. Indicators of Excessive Use
Use is considered excessive when any of the following occurs:
Full consumption of the hours balance in unusually short, recurring periods.
Submitting large numbers of simultaneous requests exceeding reasonable operational capacity.
Relying on the firm as a complete substitute for internal legal management beyond the subscription scope.
Repeated urgent or after-hours requests on an ongoing basis.
4. Remediation Procedures
Upon identifying excessive use, the firm may:
Notify the client and restructure the service delivery approach.
Schedule requests according to work priority.
Propose a package upgrade or scope adjustment.
Bill any additional work beyond scope at the standard rate.
5. Exceptions
Emergency circumstances or urgent cases of an exceptional nature.
Cases agreed upon in advance with the firm.
6. Non-Infringement
This policy is applied without conflicting with the firm's contractual obligations. It does not aim to restrict legitimate use of services, but solely to organize it.
